Terms of Service

Effective date: October 20, 2026 · Last updated: October 20, 2026

1. Agreement, eligibility and accounts

1.1 Acceptance. These Terms are a contract between Global Connect LLC and the business that signs up for MIA ("Customer", "you"). You accept them by creating an account, clicking accept, or using the Service. The person accepting confirms they have authority to bind the Customer. A signed order form or master agreement overrides these Terms where they conflict.

1.2 Business use only. The Service is for businesses, not consumers. You must be a legally formed business, and your users must be at least 18.

1.3 Definitions.

TermMeaning
ServiceThe MIA web app and API, dialing, voicemail detection, the AI assistant, messaging and reports
UsersThe Agents, supervisors and admins you allow to use your account
Customer DataEverything you or your Users put into the Service, plus the calls, recordings, transcripts and messages it creates for you
ContactsThe people you call or message through the Service
CreditsPrepaid balance used to pay for calls, messages and AI usage

1.4 Accounts. You are responsible for all activity under your account, for whom you give access to, and for removing access when someone leaves. Each User gets their own login and calling credentials, which must not be shared. Tell us right away at legal@miadial.com if you suspect unauthorized access.

1.5 Trials. We may offer a free or limited trial. Trials end on the stated date. They may be capped (e.g. number of calls or Agents), and are provided as-is, without any service commitment.

2. The Service and acceptable use

2.1 License. While your subscription is active and paid, you may let your Users access the Service for your internal business. This right is non-exclusive and non-transferable. We may improve or change features, as long as we don’t materially reduce the core service during a paid term.

2.2 You may not:

  1. Call or message anyone without the consent the law requires, or anyone on the National Do Not Call Registry, a state list or your internal list, unless an exemption applies.
  2. Spoof caller ID or show a number you aren’t authorized to use, or hide your identity to mislead, defraud or cause harm.
  3. Use the Service for fraud, phishing, debt-collection abuse, harassment, threats, or political or robocall campaigns without the required consent.
  4. Make an AI voice impersonate a real person, or deny that it is an AI when sincerely asked.
  5. Record or monitor calls in violation of wiretapping or eavesdropping laws.
  6. Upload data you have no right to use, including purchased lead lists without valid consent.
  7. Send content that is illegal, defamatory or infringing, or that is malware or spam.
  8. Reverse engineer, resell or sublicense the Service, scrape it, get around usage limits, or test its security without written permission.
  9. Call emergency numbers (911) through the Service. The Service does not support emergency calls.

2.3 Monitoring. We may review usage signals (for example, call volume, answer rates and complaint rates) to keep the network healthy and to spot abuse. Carriers may also block or label numbers on their own; we do not control that.

3. Your compliance obligations

MIA is a tool; you decide whom to call, when, and what is said. You alone are responsible for making sure every call and message complies with the law. That includes the TCPA, the FTC Telemarketing Sales Rule, the CAN-SPAM Act, state mini-TCPA and telemarketing laws (e.g. Florida, Oklahoma, Washington), state recording laws, the GDPR where it applies, and carrier and CTIA messaging rules.

3.1 Consent. Before calling or texting a cell phone with the auto-dialer, a prerecorded message or the AI voice, get the consent the law requires. For marketing, that means prior express written consent. Keep proof of consent for at least 5 years and give it to us within 5 business days if we ask.

3.2 Do-not-call. Check numbers against the National DNC Registry and state lists, and keep a current subscription. Honor opt-outs within 10 business days (sooner where the law requires), and keep your internal DNC list in MIA up to date.

3.3 Recording notice. Where any party must consent to recording, tell the Contact at the start of the call that it may be recorded, or turn recording off. Live supervisor listening counts as monitoring and needs the same notice.

3.4 AI disclosure. By default, Mia greets the Contact without saying it is an AI, and confirms it is an AI only if asked. You must configure its opening so it says clearly, at the start of each call or text exchange, that the Contact is speaking with an AI system and who is calling. Configure its prompts so it never makes false or unauthorized statements.

3.5 Calling hours and identity. Call only between 8 a.m. and 9 p.m. in the Contact’s local time, or a narrower window where state law requires it (in Florida, 8 a.m. to 8 p.m. under the Florida Telephone Solicitation Act). Respect any state limits on how often the same person may be called, such as Florida’s limit of 3 calls in 24 hours on the same subject. Use caller ID you are authorized to use. Give your business name and a callback number. Register 10DLC brands and campaigns for business texting.

3.6 Contacts’ privacy. For Customer Data about Contacts, you are the controller (the “business” under the CCPA) and we are your service provider. You must have a lawful basis, give any required privacy notices, and answer Contacts’ requests. We will: process that data only to provide the Service and on your instructions; not sell or share it, or use it for any other purpose; keep it confidential and secure as our Privacy Policy describes; use only the types of service providers described there; notify you of a breach within 72 hours; help you answer Contacts’ requests; and delete it as our Privacy Policy describes.

3.7 Our right to act. If we reasonably believe a campaign breaks the law or this section, we may pause it, block numbers or suspend the account, giving notice where practical.

3.8 What MIA does not do for you. MIA gives you settings, but it does not make your calls compliant on its own. Unless we say otherwise in writing:

  1. Recording notice. Recording is on by default. You must configure or provide any recording notice the law requires (see 3.3), or turn recording off.
  2. Abandoned calls. When no Agent is free for an answered call, MIA hangs up without playing a message and may redial the lead a few minutes later. MIA’s pacing settings alone do not meet the FTC safe harbor (16 CFR 310.4(b)(4)) or the FCC rule (47 CFR 64.1200(a)(7)). Those also require: (a) no more than 3% of answered calls abandoned per campaign, measured over each 30-day period; (b) unanswered calls ringing at least 15 seconds or 4 rings; (c) a recorded message within 2 seconds of the greeting, giving the seller’s name and phone number (and, under the FCC rule, an automated opt-out); and (d) records proving all of this. You must meet every condition, or use a dialing mode that does not abandon calls.
  3. Calling hours. MIA applies calling hours in each campaign’s time zone, not in each Contact’s. Set up your campaigns (for example, one per time zone) so that every Contact is called within their own legal hours.
  4. Call-frequency limits. MIA limits retries per lead by campaign settings, not by state law. Configure them to meet any state cap, such as Florida’s.
  5. Consent records. MIA does not store proof of consent for each lead. You must keep it yourself and provide it under 3.1.
  6. Do-not-call lists. MIA checks the numbers on your internal list and any registry results you load. You remain responsible for keeping your National and state DNC scrubs current.

Using a MIA feature, a default setting or our support advice does not move responsibility for compliance to us. You remain solely responsible under Sections 3 and 6.4 for every call and message you make through the Service.

4. Fees, credits, suspension and termination

4.1 Fees. You pay the license fees in your order or plan, based on the number of Agents allowed. Fees are billed in advance, in U.S. dollars, and do not include taxes, which you pay.

4.2 Credits. Calls, phone numbers, recordings, SMS, WhatsApp and AI usage are paid from prepaid Credits. Credits are bought through our payment processor and priced as our rate schedule says. When your balance hits zero, calls and messages may stop. Credits are non-refundable and do not expire while the account is active. We refund unused Credits only where the law requires it, where you end your account under 6.1 or 4.6 because of our failure or breach, or where we end your account for a reason other than your breach.

4.3 Late payment. If payment is more than 15 days late, we may suspend the Service after giving notice. Overdue amounts may accrue interest of 1.5% per month, or the legal maximum if lower.

4.4 Term and renewal. Monthly plans renew each month. You can cancel any time before the next renewal date, and cancellation takes effect at the end of the current billing period. Annual and other fixed-term plans renew for the same term unless either party gives notice at least 30 days before the renewal date.

4.5 Suspension. We may suspend all or part of the Service right away if your use: breaks Section 2 or 3; risks harm to the Service, to carriers or to others; or a carrier or regulator requires it. We restore access once the issue is fixed.

4.6 Termination. Either party may end these Terms if the other materially breaches them and doesn’t fix it within 30 days of notice. We may end them right away for repeated or serious compliance violations.

4.7 After termination. Access ends. For 30 days you can request an export of your Customer Data, after which we delete it as the Privacy Policy describes. Unpaid fees become due. Sections 3, 4.2, 5, 6 and 7 survive.

5. Data, intellectual property and confidentiality

5.1 Your data. You own Customer Data. You let us use it only to provide, secure and support the Service, and as our Privacy Policy and Section 3.6 describe. You promise you have every right and consent needed to give it to us.

5.2 Aggregate data. We may use de-identified, aggregated data (for example, answer rates or voicemail detection accuracy across all customers) to improve the Service. It never identifies you, your Users or any Contact.

5.3 AI output. As between us, you own the transcripts, summaries and notes the AI features create for you. AI output may be wrong. Review it before relying on it, and don’t use it as the only basis for decisions that significantly affect a person.

5.4 Our property. We and our licensors own the Service, its software, its models and our branding. Nothing in these Terms transfers them to you. If you send us feedback, we may use it freely, without paying you.

5.5 Third-party services. Integrations you turn on, such as messaging apps, payment services or your CRM, are governed by those providers’ own terms. We are not responsible for them.

5.6 Confidentiality. Each party will protect the other’s non-public information with at least reasonable care, and use it only for this agreement. This does not cover information that is public, already known, independently developed, or that the law requires a party to disclose (after notifying the other party where allowed).

6. Warranties, liability and indemnity

6.1 Our commitment. We will provide the Service with reasonable skill and care, and keep the security measures in our Privacy Policy in place. If the Service fails to work materially as described, tell us. We will try to fix it, and if we can’t within 30 days, you may terminate and get a refund of prepaid, unused license fees. This is your only remedy for that failure.

6.2 Disclaimer. Except as stated in 6.1, the Service is provided “as is” and “as available.” We disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not promise that:

  • the Service will be uninterrupted or error-free;
  • calls will connect, or carriers won’t block or label your numbers;
  • the voicemail detector will classify every call correctly;
  • AI output will be accurate;
  • using the Service will make you compliant with any law.

6.3 Limitation of liability. Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Each party’s total liability is capped at the fees you paid in the 12 months before the claim. These limits don’t apply to your payment obligations, your indemnity under 6.4, or a party’s gross negligence, fraud or willful misconduct.

6.4 Your indemnity. You will defend and indemnify us, our affiliates and our staff against any third-party claim, fine or penalty arising from: your calls, messages or campaigns (including TCPA, TSR, DNC and recording-law claims and class actions); your Customer Data; or your breach of Section 2 or 3. That covers reasonable attorneys’ fees.

6.5 Our indemnity. We will defend you against third-party claims that the Service, used as permitted, infringes their U.S. intellectual property rights, and pay the resulting damages. We may modify the Service, get you a license, or end your subscription and refund prepaid fees.

6.6 Process. The indemnified party must notify the other promptly, let it control the defense, and cooperate. No settlement may admit fault for the other party without its consent.

7. Disputes and general terms

7.1 Governing law. The laws of the State of Florida, United States, govern these Terms, without regard to conflict-of-law rules.

7.2 Disputes. The parties will first try to resolve any dispute through good-faith talks for 30 days. After that, disputes go to binding arbitration under the AAA Commercial Arbitration Rules, before one arbitrator in Orange County, Florida. Either party may still seek an injunction in court to protect its IP or confidential information, or file in small-claims court.

7.3 No class actions. Claims may only be brought individually, not as a plaintiff or class member in any class, collective or representative proceeding.

7.4 Changes to these Terms. We may update these Terms. For material changes, we will give at least 30 days’ notice by email or in the app. They take effect at your next renewal, unless the law requires otherwise. If you keep using the Service after that, you accept them.

7.5 General.

  • Entire agreement: these Terms, any order form, and the Privacy Policy form the whole agreement.
  • Assignment: neither party may assign it without consent, except in a merger or sale of substantially all assets.
  • Force majeure: neither party is liable for delays caused by events beyond its reasonable control, including carrier or internet outages.
  • Severability and waiver: if one clause is invalid, the rest stands, and not enforcing a right is not a waiver.
  • Independent parties: no partnership, agency or employment relationship is created.
  • Export and sanctions: you won’t use the Service in, or for anyone in, a sanctioned country or on a sanctions list.
  • Notices: to us at legal@miadial.com; to you at your account admin’s email.
